1. Acceptance of terms

By creating a NexusPay account or accessing any of the services provided by Innovate Hub PH (“NexusPay”, “we”, “us”), you agree to be bound by these Terms. If you do not agree, do not use the service.

2. Account creation and eligibility

You must be at least 18 years of age and legally able to enter into binding contracts under Philippine law. Business accounts must complete our Know-Your-Business (KYB) process.

3. Fees

NexusPay charges per-transaction fees and, where applicable, an activation fee. Current fee schedules are displayed in your dashboard and on our pricing page. We may revise fees with 30 days’ notice.

4. Payment processing

We act as a payment aggregator, settling funds through licensed providers and remitting net proceeds to your designated payout account. Settlement timing depends on the underlying payment method and may take up to T+3 business days.

5. Prohibited uses

You may not use NexusPay for any business or activity prohibited by our Acceptable Use Policy, by applicable Philippine law, or by our partner financial institutions.

6. Suspension and termination

We may suspend or terminate your account if you breach these Terms, if required by law or regulator, or if your activity poses unacceptable financial-crime risk. You may close your account at any time, subject to our settlement and record-retention obligations.

7. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of the Philippines. Any dispute shall be resolved by the courts of Makati City.

8. Arbitration

Where permitted, parties may elect arbitration administered under the Philippine Dispute Resolution Center rules.

9. Limitation of liability

To the maximum extent permitted by law, our aggregate liability is limited to the fees you paid in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, consequential, or punitive damages.

10. Modifications

We may amend these Terms. Material changes will be notified by email and posted on this page at least 30 days before they take effect.
